SeQual Technology Inc.是一家美國公司，主要生產醫療用氧氣製造機，並已成功研發第一台攜帶式氧氣製造機，此項產品將帶給居家照護病人很大的便利，是一高附加價值且高競爭力之產品。另一方面該公司所製造之居家照護用氧氣製造機相關產品在日本市場佔有率已高達70%，高品質及低成本是其獲利之主要產品訴求。
SeQual Technology Inc. 此次來台設廠生產，尋求合作投資夥伴，並將募資一千五十萬美金。在此邀請您共同參與此次會議，以增進我國醫療器材相關產業之發展及促進國際合作之交流。

SeQual Technologies, a U.S. manufacturer of oxygen generator systems primarily for medical patients with lung disease, has developed the first truly portable oxygen concentrator – a long-sought goal for the home medical market that both improves patients’ lives and brings great operating cost savings to home healthcare providers. This product offers SeQual rapid and highly profitable growth.
The company intends to shift all of its medical production to Taiwan. By doing so, production and even development and tooling costs will be reduced significantly. This, combined with the company’s proprietary technology, positions SeQual with the most cost-effective products offering the highest performance of any company. SeQual currently sells medical oxygen concentrators; the move to Taiwan allows these products to reach breakeven by the end of 2002 and be profitable thereafter.
SeQual has demonstrated an engineering prototype of the portable oxygen concentrator to prospective customers and patients, and the response shows that this product can be expected to take a substantial portion of this growing market, estimated at $540M worldwide. This product, unlike existing concentrators, is lightweight, quiet, and battery operated. Priced very competitively, it offers home healthcare providers nearly 40% improvement in profitability for home oxygen therapy through elimination of costly oxygen deliveries required today while simultaneously improving patients’ lives.
The company also sells components and subsystems to the leading home oxygen therapy company in Japan. This company, with approximately 70% market share of the Japanese market, switched from its own technology to SeQual’s to take advantage of the higher performance and lower costs provided by SeQual’s technology.
The company proposes to establish a new company in Taiwan (“Newco”) and to provide it with exclusive and full access to the company’s patents and other intellectual property, medical product designs and business, and future technology the company will develop. Newco will also be provided with the American marketing/sales team that now sells the company’s products.
To finance the final development and tooling of the portable concentrator and a new home concentrator, the company seeks to raise between US$10 and US$15 million. A portion of this funding would go into the mother company and a portion would go into Newco. The company would prefer to sell new shares in the US company with an undertaking that up to US$10 Million of the new funds would be used to establish and finance Newco and the balance used to finance future industrial applications that offer very profitable opportunities. Alternatively, the company is prepared to sell shares in Newco directly should investors have a strong preference for that method.
In the case of direct Newco investment, the exit strategy would be to achieve an IPO on the Stock Exchange of Taipei or to sell the company either to a major medical device company in the US or the EU or to a Taiwanese industrial group seeking entry into the medical products market. In the case of investment in SeQual, the exit strategy is similar: IPO on the US NASDAQ, or sale to an
acquiror.
Since Newco will be profitable shortly after new product launch, SeQual and Newco are an attractive opportunity, offering investors:
- A foundation of current and future world-class technology
- An established and respected brand name that stands for outstanding reliability and quality, proven and accepted in Japan as well as the US.
- An established market structure and channel
- Existing products, approved by various world regulatory authorities, that will be profitable shortly after the transition to Taiwan
- Rapid path to investment liquidity
- Major opportunities in other applications of SeQual’s technology
